Amendments, Dues, and Initiation Fee

Includes Articles addressing the process for Amending our Bylaws, collection of dues and the Initiation fee.


ARTICLE VIII

AMENDMENTS


The Bylaws of the Corporation may be amended, added to, rescinded, or repealed at any meeting of the stockholders, provided notice of the meeting containing notice of the proposed change is given. A change of the Bylaws must be approved by seventy-five percent of the Senior and Life members voting, either in person or by proxy. No change of the time or place for the annual meeting of the stockholders for the election of officers shall be made except in accordance with the statutes of the State of Maryland in such cases made and provided.


ARTICLE IX

DUES AND ASSESSMENTS


There shall be assessed for the purposes of maintaining club facilities, functions and objectives, against and payable by each and every member, according to the type or class of membership held, certain annual dues payable in advance of January first of each and every year, and such annual assessments for capital improvements and additions to the club facilities as may from time to time be recommended by the Board of Governors and, at a regular meeting of the members after due notice of any proposed change in the rate of dues and assessments, approved by the members. Any tax, assessment or other levy lawfully made by the United States Government, the State of Maryland or any other political subdivision thereof, shall be added to the above dues and assessments and designated as "Taxes" on bills rendered the membership, and such taxes shall be paid at the times the dues and other assessments are payable.

Should the dues, assessments and taxes of any member be in arrears more than one hundred and twenty days, his name shall be posted in a conspicuous place in the Club House. Should the dues, assessments and taxes of any member be in arrears more than one hundred fifty days, his name and the amount of dues, assessments and taxes in arrears shall be presented by the Treasurer to the Board of Governors who shall have the power, if a majority shall so determine, to expel said member or to suspend him until the dues, assessments and taxes are paid. Notice of any expulsion or suspension shall be posted in a conspicuous place in the Club House. Should any other financial obligation of any member to the Corporation become of sufficient magnitude, such obligation may be treated by the Board of Governors, in this sole discretion, in the same manner as dues, assessments and taxes, with respect to posting and suspension with the payable date assumed to be the date of billing, or with respect to expulsion from membership in the Corporation.


ARTICLE X

INITIATION FEE


An initiation fee of one thousand dollars ($1000) shall be paid by each newly elected Senior Member who, on the date of his or her election, was age Forty or older, provided, however, that for a married couple becoming Senior Members through a Family Membership, the initiation fee shall be paid if either person was age Forty or older on the date of his or her election. Newly-elected members younger than Forty will not be required to pay an initiation fee.

Having done some research on the topic of "life membership" or equivalent status, of 4 other sailing clubs I contacted, two have reduced dues for "Life" members and the other two have no life member class at all, which means that all voting members pay 100% of the annual club dues.


Another area that we might take a look at is the Rear Commodore role with respect to the Jr Sail program. As it stands now, the Jr Sail director reports to the Rear Commodore. I think this would be better effective if the Jr Sail Director reports to the PSA Commodore or Board.


Again, more thoughts to ponder. . . . .
