The Turning Circle Wall Project Funding Discussion 2025

Hello Members, over the last two general meetings, January and February, we discussed the Wall project. We started with two options: Leave the footprint the same but demolish and build a new wall matching the lower one next to the driveway built by Himmel's, or push the longer face back a few feet for added room in the turning circle. The first option was voted on and approved by membership and seemed the most reasonable for time and costs and again Himmel's was the contractor whose quote seemed the best fit.

However at the February meeting the board listened to many of the voices basically expressing concern over the vote not also including how to fund the project. The boards position was to follow the last process for the short wall, which would mean borrowing from the reserve fund and paying that back through a special assessment over a fou…

I went back and looked at the emails concerning the wall. I did not see from the secretary where there was a up and down Proxity vote for the wall itself. Just a vote to pay the $85.00 yes or no out of the reserve fund. My opinion no clear vote on the way it was presented on the wall. If I am incorrect, please show me.

The Bylaws are broken down into separate categories so that each discussion will be specific to the Article that is referenced in that category. Not all Articles are included, however, members are welcome to expand the list.

Over the last 5 years we have experienced a hiatus in changes to Bylaws and guidelines. Prior to 2017, several significant efforts successfully updated both documents including an effort which failed to modernize and codify our business practices and financial management policies including those of the Jr. Sail prograM and referring to the Guidelines in the Bylaws as an executable policy addendums on significant operational procedures. Bylaws changes however should be considered with the utmost care. Standard operational procedures like the Guidelines however, should be more flexible to absorb and respond to the changing preferences of the members. Both documents however should still require the full disclosure discussion and debate of all senior members and the 75% majority approval. While the availability of a Parliamentary expert on the Bylaws committee would be a real benefit, we should at minimum have a member with legal experience assist the committee in the review process. ARTICLE VIII

AMENDMENTS


The Bylaws of the Corporation may be amended, added to, rescinded, or repealed at any meeting of the stockholders, provided notice of the meeting containing notice of the proposed change is given. A change of the Bylaws must be approved by seventy-five percent of the Senior and Life members voting, either in person or by proxy. No change of the time or place for the annual meeting of the stockholders for the election of officers shall be made except in accordance with the statutes of the State of Maryland in such cases made and provided.

DUES AND ASSESSMENTS

Having done some research on the topic of "life membership" or equivalent status, of 4 other sailing clubs I contacted, two have reduced dues for "Life" members and the other two have no life member class at all, which means that all voting members pay 100% of the annual club dues.


Another area that we might take a look at is the Rear Commodore role with respect to the Jr Sail program. As it stands now, the Jr Sail director reports to the Rear Commodore. I think this would be better effective if the Jr Sail Director reports to the PSA Commodore or Board.


Again, more thoughts to ponder. . . . .

ARTICLE III

BOARD OF GOVERNORS


Section 1. The Board of Governors of the Corporation shall consist of seven persons; namely, a Commodore, Vice-Commodore, Rear Commodore, Fleet Captain, Secretary, Treasurer, and Member-at-Large. A majority of the members of this board then holding office shall constitute a quorum for the transaction of business, but, if at any meeting there shall be less than a quorum present, a majority of those present may adjourn the meeting from time to time until a quorum shall have been obtained. The Board of Governors shall hold office until their successors have been elected and qualified.
